EY, solely in its capacity as Sales Officer of the Conservatory Group, is conducting a Court-approved sale process in respect of The Conservatory Group’s Richview Heights and Richmond Green assets (the “Offering”). Any parties who are interested in acquiring some or all of the Richview Heights and Richmond Green assets (each, a “Potential Offeror”) and would like access to certain non-public information relating to the Offering (the “Confidential Information”), solely for the purpose of conducting due diligence relating to the potential acquisition of same, will be required to provide the Sales Officer with the following deliverables:

  • An acceptable executed Non-Disclosure Agreement (“NDA”) or, where applicable, an acknowledgement to a previously executed NDA; and
  • Completion of the Residential Building Lots Offeror Qualification Form.

The Sales Officer will evaluate the deliverables provided by each Potential Offeror in order to determine, in its sole discretion, whether such Potential Offeror will be designated as a “Lot Block Offeror” for purposes of the Offering. Each Lot Block Offeror will be granted access to Confidential Information, including the applicable confidential information memorandum, access to an electronic data room, a process letter setting out the key milestones of the Offering, and other Offering protocols. 

[Note: Prior to the Offering, EY commenced a separate Court-approved sale process in respect of the larger Conservatory Group portfolio. That prior sale process commenced on October 29, 2025, and Phase 1 non-binding letters of intent were due on March 26, 2026. 

The Sales Officer shall have the right at any time during the Sale Process, in its sole discretion, to remove any Conservatory Group Assets from the Offering without prior notice to any Potential Offeror]
