General
- Only the Sales Officer has the right to market and manage the sale of the Conservatory Group assets.
Bidding
- The Libfeld brothers will not receive any information regarding any bids (Phase 1 LOIs or Phase 2 final bids) at any time in the Sale Process, including through the process of seeking Court approval and closing approved transactions. The Sale Process approved by the Court is clear on this and reads as follows:
- During the Sale Process, the Sales Officer will not divulge any information to the Libfeld brothers relating to:
- The identity of any potential or actual bidder;
- The nature of requests from third-party bidders or additional due diligence material requested by any bidder, including bidders that have toured the various Properties;
- The existence, and terms and conditions, of any bids received; and
- The Sales Officer’s, analysis and assessment of any bids received.
- During the Sale Process, the Sales Officer will not divulge any information to the Libfeld brothers relating to:
- Pursuant to the Judgement of the Court, the Libfeld Brothers may participate as bidders in the Sale Process, and are treated like any other bidder.
- The selection of the winning bid(s) will be at the sole discretion of the Sales Officer, subject to approval by the Court.
- The Court approved Sale Process does not allow for any bidders, including the Libfeld Brothers, to see any bid prices.
- Current TCG property Tenants can participate in the Sale Process if the tenant or its principals qualifies as a Phase 1 Qualified Bidder.
- Bidders can bid on one, some or all of the Conservatory Group assets.
- All Phase I Qualified Bidders, including the Libfeld Brothers, are required to bid on 100% of each asset they want to acquire.
- Bidders cannot pre-empt the process with a firm offer.
- Pricing guidance will not be provided.
- A break fee is not being offered as part of the Sale Process.
Property Specific
- If you are interested in any of the unsold condo inventory, remnant lots and homes, parking, locker and /or other ancillary condominium units, please contact the Sales Officer.
Brokers
- Brokers need to be engaged and acting on behalf of a Phase 1 Qualified Bidder and must solely look to such Qualified Bidder for any compensation to the broker.
